IP Transactional
Cantor Colburn, one of the nation’s leading full-service intellectual property law firms, is dedicated to helping our clients succeed. We do this by adding measurable value to their businesses – so that they can meet and even exceed their objectives. Our Transactional Practice draws on our broad experience and robust resources to help clients efficiently execute transactions that secure, develop, and manage their invaluable IP assets.
Our advice and guidance is predicated upon a thorough knowledge of the intricacies and nuances of each client’s business. Such intimate understanding allows us to build focused working relationships and fully partner with a diverse group of technology-based companies.
Comprehensive Services
Cantor Colburn clients rely on us for outstanding, comprehensive representation of their most sophisticated IP-related transactions.
Members of our Transactional Practice team regularly draft and negotiate the full range of high-level IP agreements, including:
- Joint development agreements
- Supply consulting agreements
- Commercialization agreements
- Technology transfer agreements
- Licensing agreements
- Research and development agreements
Clients engaged in complex corporate mergers, acquisitions, divestitures, and securitizations routinely call on us to ensure that their IP properties are properly licensed and transferred in the course of these transactions.
Our Transactional Practice team handles groundbreaking transactions. In January 2012, for instance, the state of Connecticut and Jackson Laboratory agreed to build a $1.1 billion genomic research facility at the University of Connecticut Health Center in Farmington. Representing Connecticut and Connecticut Innovations, our team drafted and negotiated the IP provisions of the landmark deal’s unique IP sharing arrangements.
